1. Acceptance of Terms
Welcome to Campus Lane Holdings ("Company," "we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Campus Lane Holdings regarding your access to and use of our website at www.campuslane.com (the "Site") and all related services (collectively, the "Services").
By accessing, browsing, or using our Site and Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.
1.1 Agreement to Terms
Your use of our Services constitutes your acceptance of these Terms. If you do not agree to these Terms, you must immediately discontinue use of our Services.
1.2 Binding Agreement
These Terms create a binding legal agreement between you and Campus Lane Holdings. They govern your access to and use of all aspects of our Services.

For the purposes of these Terms, the following definitions apply:
- "Company," "we," "our," or "us" refers to Campus Lane Holdings, a real estate company registered and operating in Uganda.
- "User," "you," or "your" refers to any individual or entity accessing or using our Services.
- "Site" refers to our website at www.campuslane.com and all associated subdomains.
- "Services" refers to all services, features, content, and functionality offered through our Site.
- "Property" or "Properties" refers to real estate listings, including land, houses, apartments, and commercial properties.
- "Transaction" refers to any purchase, sale, or transfer of property facilitated through our Services.
- "Content" refers to all text, images, videos, data, and other materials available on our Site.
- "Account" refers to a registered user account on our Site.
3. Eligibility and Account Registration
3.1 Age Requirement
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts under Ugandan law.
3.2 Account Creation
To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to maintain account security.
3.4 One Account Per User
You may only create and maintain one account. Creating multiple accounts or impersonating others is strictly prohibited.

Campus Lane Holdings provides real estate services, including:
- Property listing and advertising
- Property search and browsing functionality
- Property viewing arrangements
- Transaction facilitation and support
- Land title verification services
- Real estate consultation and advisory
- Market information and insights
4.2 Service Availability
We strive to maintain continuous availability of our Services, but we do not guarantee uninterrupted access. We reserve the right to:
- Modify, suspend, or discontinue any part of our Services
- Perform scheduled maintenance without prior notice
- Update features and functionality
- Limit certain features to specific user groups
4.3 Geographic Limitations
Our Services primarily focus on properties located in Uganda. We do not guarantee availability of services outside Uganda.
5. Property Listings and Accuracy
5.1 Information Accuracy
We make reasonable efforts to ensure that property information displayed on our Site is accurate and up-to-date. However, we cannot guarantee the absolute accuracy, completeness, or reliability of property listings.
5.2 Property Verification
While we conduct due diligence on property listings, including land title verification, users are strongly encouraged to:
- Conduct independent verification of property information
- Inspect properties in person before making purchase decisions
- Engage qualified legal professionals for transaction advice
- Verify land titles through official government channels
- Conduct property surveys and assessments
5.3 Listing Changes
Property listings may be modified, removed, or become unavailable without prior notice. We are not responsible for properties that are no longer available or for pricing changes.
5.4 Third-Party Listings
Some properties may be listed by third-party sellers or agents. We act as a facilitator and are not responsible for the accuracy of third-party provided information.
6. Property Transactions
6.1 Role as Facilitator
Campus Lane Holdings acts as a facilitator and intermediary in property transactions. We are not a party to the actual sale and purchase agreement between buyers and sellers.
6.2 Transaction Process
Property transactions conducted through our Services typically involve:
- Property inquiry and viewing
- Negotiation of terms between buyer and seller
- Property inspection and due diligence
- Agreement on price and payment terms
- Legal documentation and title transfer
- Payment processing and completion
6.3 Legal Requirements
All property transactions must comply with Ugandan law, including:
- Land Registration Act
- Land Acquisition Act
- Stamp Duty Act
- Local government regulations
- Tax obligations and reporting requirements
6.4 Professional Advice
We strongly recommend that users engage qualified professionals, including:
- Licensed lawyers for legal advice and documentation
- Certified surveyors for property assessment
- Tax advisors for financial planning
- Engineers or architects for property evaluation
6.5 No Guarantee of Transaction
We do not guarantee that any inquiry or negotiation will result in a completed transaction. All transactions are subject to the mutual agreement of buyers and sellers.
7. Fees and Payment
7.1 Service Fees
Certain services may be subject to fees, including:
- Transaction facilitation fees
- Premium property listing fees
- Featured placement fees
- Consultation service fees
- Property verification fees
7.2 Fee Disclosure
All applicable fees will be clearly disclosed to you before you incur any charges. Fees are subject to change, and we will provide notice of any fee changes.
7.3 Payment Methods
We accept various payment methods, including:
- Bank transfers
- Mobile money (MTN, Airtel)
- Credit/Debit cards
- Cash payments (at our office)
7.4 Payment Terms
Unless otherwise agreed:
- All fees are non-refundable once services are rendered
- Payment must be made in Ugandan Shillings (UGX) unless otherwise specified
- Late payments may incur additional charges
- We reserve the right to suspend services for non-payment
7.5 Refund Policy
Refunds are considered on a case-by-case basis and may be granted in the following circumstances:
- Service was not provided as promised
- Technical errors resulting in duplicate charges
- Property misrepresentation by us (with proof)
Refund requests must be submitted within 14 days of the transaction.
8. User Conduct and Responsibilities
8.1 Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Transmit harmful or malicious code
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of our Services
- Harass, threaten, or abuse other users or staff
- Post false, misleading, or fraudulent information
- Engage in any form of spam or unsolicited advertising
- Scrape or data mine our Site without permission
- Use automated systems (bots) to access our Services

If you submit content to our Site (reviews, comments, inquiries), you represent that:

- The content does not violate any laws or third-party rights
- The content is accurate and not misleading

8.4 Consequences of Violation
Violation of these conduct rules may result in:

We grant you a limited, non-exclusive, non-transferable license to access and use our Services for personal, non-commercial purposes. This license does not include:
- Resale or commercial use of our Services or content
- Collection or use of property listings for competing services
- Downloading or copying of content for distribution
- Modification or creation of derivative works
- Removal of copyright or proprietary notices
9.3 Trademarks
"Campus Lane Holdings," our logo, and other marks used on our Site are trademarks of Campus Lane Holdings. You may not use these marks without our prior written permission.
9.4 Copyright Complaints

10. Disclaimers and Limitations
10.1 "As Is" and "As Available"
Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness of information
- Uninterrupted or error-free operation
10.2 No Property Guarantees
We do not warrant or guarantee:
- The accuracy of property descriptions or pricing
- The availability of listed properties
- The condition or quality of any property
- The validity of land titles (despite our verification efforts)
- The investment value or appreciation potential of properties
- The completion of any property transaction
10.3 Third-Party Content
Our Site may contain links to third-party websites or services. We are not responsible for:
- The accuracy or reliability of third-party content
- The privacy practices of third-party sites
- Any damages or losses from third-party interactions
10.4 Investment Disclaimer
Nothing on our Site constitutes financial, investment, legal, or tax advice. Real estate investments involve risks, and you should:
- Conduct independent research and due diligence

- Understand the risks before making investment decisions

10.5 No Liability for User Conduct

11. Limitation of Liability
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAMPUS LANE HOLDINGS SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Loss arising from property transactions
- Damages resulting from use or inability to use our Services
- Damages from third-party conduct or content
11.2 Maximum Liability
Our total aggregate liability to you for all claims arising from or related to our Services shall not exceed the greater of:
- The amount you paid to us in the 12 months prior to the claim, OR
- One million Ugandan Shillings (UGX 1,000,000)
11.3 Essential Purpose
These limitations apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
11.4 Jurisdiction-Specific Rights
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Campus Lane Holdings, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of our Services
- Your violation of these Terms
- Your violation of any laws or regulations
- Your violation of the rights of any third party
- Any content you submit or post on our Site
- Any property transactions you engage in
- Any disputes with other users or third parties
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting any available defenses.
13. Termination and Suspension
13.1 Termination by You
You may terminate your account at any time by:

- Using the account deletion feature (if available)
- Ceasing to use our Services
13.2 Termination by Us
We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including:
- Violation of these Terms
- Fraudulent or illegal activity
- Prolonged inactivity
- Non-payment of fees
- Abusive or harmful conduct
- At our sole discretion
13.3 Effect of Termination
Upon termination:
- Your right to use our Services immediately ceases
- We may delete your account and data
- You remain liable for any outstanding obligations
- Sections of these Terms that by nature should survive will remain in effect
13.4 Survival
The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating formal dispute resolution, you agree to first contact us at disputes@campuslane.com to attempt to resolve the dispute informally.
14.2 Mediation
If informal resolution fails, the parties agree to submit the dispute to mediation administered by a mutually agreed mediator in Kampala, Uganda.
14.3 Arbitration
If mediation is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Uganda.
14.4 Class Action Waiver
You agree that disputes must be brought on an individual basis only and not as part of any class, collective, or representative action.
14.5 Costs
Each party shall bear its own costs of dispute resolution, unless otherwise determined by the mediator or arbitrator.
15. Governing Law and Jurisdiction
15.1 Governing Law
These Terms and any disputes arising from or related to our Services shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to conflict of law principles.
15.2 Jurisdiction
Subject to the dispute resolution provisions above, you agree to submit to the exclusive jurisdiction of the courts located in Kampala, Uganda for resolution of any legal proceedings.
15.3 Language
These Terms are drafted in English. Any translation is provided for convenience only. In case of conflict, the English version shall prevail.
16. Modifications to Terms
16.1 Right to Modify
We reserve the right to modify these Terms at any time. Changes may be made to reflect:
- Legal or regulatory requirements
- Changes to our business practices
- New features or services
- User feedback and improvements
16.2 Notice of Changes
When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Post a notice on our Site homepage
- Send email notification to registered users (for significant changes)
- Provide reasonable notice before changes take effect
16.3 Acceptance of Changes
Your continued use of our Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using our Services.

17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Campus Lane Holdings regarding our Services.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
17.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
17.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
17.6 Independent Contractors
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Campus Lane Holdings.
17.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
